TERMS OF USE

Subject to these Terms of Use (this “Agreement”), Medical Research Collaborative, LLC makes available certain information and services on our website, medicalresearchcollaborative.com, to registered and/or authorized users (“you” or “your”). Our Service presents information, data, content, news, reports, programs, video, audio and/or other materials and services, communications, transmissions and/or other items, tangible or intangible, which are referred to as “Material.” Your use of Our Service constitutes your acknowledgment of and assent to be bound by this Agreement.

Unless there is another written agreement between you and us that covers your use of part or all of Our Service, this is the entire agreement between you and us. If there is another written agreement between you and us that covers your use of part of Our Service, this Agreement covers all other use of Our Service by you. Whenever new products or services become available, your use of them will be under this Agreement unless we notify you otherwise or another written agreement covers your use of those new products or services.

In certain cases, additional “passthrough” terms and conditions may apply to the of use of third-party content, software or other services (collectively, “Third-Party Content”). Any such additional terms and conditions shall be delivered with applicable Third-Party Content.

We may change this Agreement at any time and you can read a current copy of this Agreement at any time by selecting the “Terms & Conditions” link on Our Service. If any change is not acceptable, you must discontinue your use immediately; using Our Service after the date that this Agreement changes means you accept the changes. No change to this Agreement that is not posted on the Service is valid unless it is in writing and signed by both you and us. We will notify you of any planned change to this Agreement at least 72 hours prior to such change by way of email.

Permitted Use, Limitations on Use

You or your firm may access, download, and print the Material to view the Material for you or your firm’s use, or grant access to a consultant to view the Material to advise you or your firm (email to email sharing of the Material is allowed). You shall keep all copyright and other notices on the Material. You or your firm (including consultants to) may not republish or grant access to the Material on a public domain, unless viewing the Material therein is restricted by private passcode. You or your firm agree to not share the Material with another investment firm, and shall require all persons not full-time employed by your firm to agree to not share the Material with another investment firm (a signed non-disclosure agreement will suffice). You agree to comply with all notices and requirements accompanying Third-Party Content (see paragraph 3 under Terms of Use).

Anti-hacking Provision

You may not, nor may you allow others to, directly or indirectly: (a) attempt to or actually disrupt, impair or interfere with, alter or modify Our Service or any Material; or (b) collect or attempt to collect any information of others, including passwords, account or other information.

No Advice

Medical Research Collaborative, LLC (“MRC”) is not a law firm, registered investment advisor, or medical practice. The Material available on Our Service is for informational purposes only. Even when contracted to perform a specific task or analysis, such a service is not, and is not intended to be, qualified legal counsel, investment advice, or practicing medicine of any kind. Our Service should not be used in place of the advice of a qualified attorney, registered investment advisor, or health care provider. Should you ask MRC an investment-related question and we answer it, our answer should not be construed to be qualified investment advice, but our opinion shared for informational purposes only.

Various links may appear on Our Service that will take you out of Our Service. These linked sites are not necessarily under our control. We are not responsible for the contents of any linked page or any other page not under our control. Limitation of Liability

Medical Research Collaborative, LLC is not a registered investment advisor. You and/or your firm, or anyone else in connection with your browsing or use of Our Service, are entirely liable for any activities conducted (especially investment related) by the same. If you are dissatisfied with the Material or Our Service or with these Terms of Use, your sole and exclusive remedy is to stop using the Material and Our Service. We will not pay you or anyone else any damages caused by decisions, investment-related or otherwise, purported as influenced by the use of Our Service.

We do not warrant the accuracy, completeness, currentness or other characteristics of any Material available on or through Our Service. We will not be liable for any loss or injury resulting directly or indirectly from Our Service, whether or not caused in whole or in part by our negligence or by contingencies within or beyond our control. Neither we, nor suppliers of Third-Party Content, are responsible or liable, directly or indirectly, for any loss or damage caused by use of or reliance on or inability to use or access Our Service or the Material.

Additional Agreements

In the event that you or your company have signed a direct contract with Medical Research Collaborative, LLC (“Agreement”) and there exist terms which conflict between this Terms and Conditions Document and your signed Agreement for this service, the terms of your signed Agreement shall supersede this Terms and Conditions Document.
